The Superior Civil Court partially homologated the above legal agreement, and stated that only the transaction related to the waivers was homologated since the Trial Court had already annulled the assignments of Las Cristinas, and such decisions was finally firm. Therefore, it was firmly established that Inversora Mael was never the holder of the title on the concessions of Las Cristinas. |

Ramon Torres, Inversora Mael and CVG executed an agreement which finished the Appeals for Annulment sought by Inversora Mael, and the parties declared they had nothing to claim on this matter. |

The MEM denied to Inversora Mael the possibility to publish in the Official Gazette the assignment of rights on Las Cristinas made by Ramón Torres to Inversora Mael. Inversora Mael submitted an Appeal for Annulment and the SCJ ordered the publishing of the assignment. The SCJ was not informed about the decision made in 1991. |

Ramón Torres, Inversora Mael and CVG entered into an agreement in which Inversora Mael stated that it had nothing to claim on Las Cristinas and that it waived any present or future legal action about those concessions. On the other hand, CVG delivered other mining areas to Inversora Mael and exonerated it from paying certain obligations related to such areas. |

The Third Trial Court in Civil Matters for the Federal District and the State of Miranda annulled the assignments of the title on Las Cristinas made by Angel Adrianza and Ramon Torres, and later by Ramon Torres to Inversora Mael. The Court stated that the only and legitimate holder of the concessions was Mrs. Dot Culver Whitney Lemon, now deceased.
The Court also annulled the assignments made between Mr. Torres and Mr. Adrianza, since they were made without the necessary power of attorney to make the assignments, since Mrs. Dot Culver Whitney Lemmon revoked the power of attorney to Mr. Adrianza on April 7, 1986, and this latter assigned the concessions to Ramon Torres on April 16, 1986.
The same decision also stated that the purported rights alleged by Inversora Mael in Las Cristinas did not have any basis, and in addition, the Ministry declared such concessions lapsed in 1989. |

The MEM published a resolution revoking the concession titles, since the 25 year term had elapsed. In the same resolution, the MEM rejected the request from Mael that the titles were granted to it, since the outstanding taxes had not been paid, and since they lacked the qualification to make such request, since the estate of Dot Culver Whitney Lemon had the first option to renew the rights. |

Lawyer Rodolfo Rodrigo Schmidt assigned to Ramón Torres, a miner of that area, a credit for Bs. 259,000 he had with Mrs. Dot Culver Whitney Lemon due to professional fees not paid by this latter. The price of such assignment was Bs. 50,000. In such way, from that date on, the creditor of Mr. Lemon was Mr. Torres. |

Mrs. Dot Culver Whitney Lemon revoked the Power of Attorney to Jesus Angel Adrianza Morales in the same Notary Office where the original document was recorded. The Notary Public wrote a marginal note evidencing the annulment of said Power of Attorney. |

A notification for professional fees made by lawyer Rodolfo Rodrigo Schmidt was declared firm by the First Trial Court in Civil Matters for the Judicial Circuit of the Federal District and the State of Miranda , in the same record as the Claim against Grossi Gatti. Such claim was brought by lawyer Rodolfo Rodrigo Schmidt in representation of Mrs. Lemon. Such amount was not paid by Mrs. Lemon, and in that way, lawyer Schmidt was converted from the initial attorney of Mrs. Lemon into her creditor. |
